Terms & Conditions for COLABR8
Effective Date: 1st Jan 2026
These Terms & Conditions (“Terms”) govern your access to and use of the services provided by COLABR8 Ltd (“COLABR8”, “we”, “us”, “our”), including supply of equipment, services, and related support. By placing an order or using any services from COLABR8, you agree to be bound by these Terms.

1. Definitions
In these Terms:
- Agreement means the contract between you and COLABR8 for the supply of Equipment and/or Services.
- Customer means the person, business or organisation ordering Equipment or Services from COLABR8.
- COLABR8 Equipment means hardware, software, SIMs or related goods supplied by us.
- Services means telecommunications, connectivity, managed services, mobile plans, or any professional services provided under this Agreement.
- Minimum Term means the initial period during which this Agreement must remain active as set out in the Order.
2. Formation of the Contract
2.1. A binding contract between you and COLABR8 is formed when we accept your signed Order or commence supply of the Services.
2.2. These Terms (together with the Order and any applicable documents referenced in the Order) form the entire agreement. No other terms will apply unless expressly agreed in writing by COLABR8.
3. Provision of Services & Equipment
3.1. We will provide Equipment and Services in accordance with the Order. We may subcontract provision of any part of the Services.
3.2. Timeframes for delivery or activation are estimates only and not guaranteed.
3.3. Ownership of Equipment remains with COLABR8 until all amounts due under this Agreement are paid in full.
4. Your Obligations
4.1. You agree to:
- Provide accurate information necessary for us to supply Services.
- Comply with all terms imposed by third-party network providers.
- Use the Equipment in accordance with any reasonable instructions we provide.
- Not resell or redistribute Services without our prior written consent.
5. Charges & Payment
5.1. Charges are set out in the Order and are exclusive of VAT unless otherwise stated.
5.2. You must pay us within 7 days of the invoice date unless otherwise agreed in writing.
5.3. If payment is overdue, we may charge interest at 4% per annum above the Bank of England base rate.
6. Liability
6.1. COLABR8 shall exercise reasonable skill and care in providing Services.
6.2. Except as prohibited by law, COLABR8 will not be liable for:
- Loss of profits or business;
- Indirect or consequential loss;
- Loss of data.
6.3. Our total liability in respect of all claims arising under this Agreement will not exceed £1.
7. Term, Termination & Cancellation
7.1. The Agreement will commence on the date of acceptance and shall continue for the Minimum Term.
7.2. You may cancel this Agreement within 48 hours of acceptance by written notice. Any Equipment already provided must be returned in original condition.
7.3. After the Minimum Term, this Agreement will automatically renew unless terminated with at least 30 days’ written notice.
8. Delivery & Title
8.1. Delivery of Equipment is completed on physical transfer to the Customer’s delivery address.
8.2. Title remains with COLABR8 until payment in full of all amounts due, and risks pass at delivery.
9. Notices
9.1. Any notice required under this Agreement must be in writing and delivered by email or post as set out above.
9.2. Notices delivered by first class post will be deemed received two business days after posting.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Scotland and the Courts of Scotland shall have exclusive jurisdiction.
11. Data Protection
We process personal data in accordance with our Privacy Policy. By entering into this Agreement you consent to such processing.
12. General
12.1. If any part of these Terms is found unenforceable, the remainder will continue in full force.
12.2. No failure or delay by COLABR8 in exercising any right shall operate as a waiver of that right.
